1985 140 Johnson ##Starting problem,sudden kill##

Recently I went out and the motor killed on me after two hours of running. I was going about 30MPH when this occurred. I tried to restart but it seemed like my battery was dead. Just a note, the cables to the battery were real warm and the fly was was hot. I went home a bought a new battery but the same problem. The solonoid does lift up. The problem is it turns over very slowly and sounds like the battery is dead. Is my starter bad? I heard something about a charging system. Could it be this(whatever the charging system is). Please give me some advise. I have no idea what is wrong. It was just rebuilt last year but is out of warranty.
