The first thing to do is make a budget and say I will spend this much to redo it. Then make a list of what you are going to replace. For example: I need 10 yards of carpet, 5 yards of vinyl, two new seats. Before ordering go ahead and check out the rest of the boat. Just like proshadetree suggested, soft spots in the floor, if the transom sounds hollow, and go underneath the boat if it is on a trailer and see if there are any stress cracks (sign of rotted stringer). Online stores usually have vinyl and carpet at prices about half of what you would find elsewhere. For the wood I am not sure which wood you are talking about. If it wood used for trim make sure it is the right type of wood or you will be doing this again very soon. White oak and teak are the ones usually used, but I have seen in some cases people use pressure treated lumber and then stain it to look like another type of wood (Ship Shape TV idea).
