Good old 80 grit sandpaper and an orbital sander..
If you plan on painting it get it as smooth as possible.
If going back with carpet i would still sand it down some and clean with acetone.
3M spray adhesive and put the new carpet on..

Be carefull when you sand. A lot of boats are foamed on the sides, and have a very thin layer of glass on it. It is easy to sand right through it into the foam.

I put carpet back over mine.

When I re-did the floor on my other boat, I just put carpet back on the sides, but I used non-skid paint on the floor. Looked good.

Go with a color that doesn't show dirt well. Beige, gray, etc. I used navy and kick myself for it all the time.

My boat had navy carpet and I pulled that out, but like I said, left in on the side because it matched the vinyl. I painted the floor a medium grey.
