How hard is it to change the base gasket on 2000 40 mercury?

2 stroke or 4 stroke? Can you provide the engine serial number please... And by 'base gasket' do you mean power-head gasket?

Next question the middle bolt on the side where tell tale discharge is had a very rusted head. Is it ok to cut the head and remove power head then remove stud then replace with new bolt. Or is it threaded through the bottom plate?

Removing powerheads on 2 strokes is quite easy. And yes you can cut the head off the stud and pull the powerhead off then deal with the cut stud...
